Corporate Governance Officer


Salary: TTD $15,200.00

The Corporate Governance Officer plays a crucial role in supporting the Corporate Secretary with corporate governance and regulatory compliance.

GENERAL DUTIES AND RESPONSIBILITIES:

Board and Board Committee Support:

  • Support the preparation, organization, and distribution of materials for Board and Committee meetings, such as agendas, minutes, resolutions, and other relevant documents.
  • Attend Board and Committee meetings as needed, draft minutes, and monitor action items to ensure timely follow-up and completion.
  • Manage logistics for in-person meetings, including scheduling, venue setup, and technology arrangements.


Corporate Governance and Compliance:

  • Maintain corporate records, including minute books, statutory registers, and other key governance documents.
  • Assist the Corporate Secretary in ensuring compliance with statutory and regulatory requirements, including correspondence and filings with the Central Bank of Trinidad and Tobago, the Ministry of Finance, and any CAF-related submissions within the Corporate Secretarial portfolio.
  • Support the timely preparation, review, and filing of Annual Reports.
  • Assist in managing regulatory inspections, audits, and reviews by preparing responses to information requests.
  • Monitor changes in applicable legislation and regulations, assisting in the implementation of necessary updates to governance practices.
  • Build and maintain strong working relationships with regulatory bodies relevant to the banking sector.
Documentation and Contract Management:

  • Assist in drafting, reviewing, and revising board resolutions and policy documents.
  • Oversee the execution, storage, and retrieval of governance documents, ensuring they are accurate and securely maintained.
Stakeholder Engagement:

  • Liaise with Directors, senior management, executive leadership, and external stakeholders, including service providers, on matters related to Board and Committee activities, corporate governance, and compliance.
  • Handle shareholder engagement by responding to inquiries and coordinating with the Ministry of Finance on shareholder correspondence.
Policy Development and Review:

  • Assist in the development, review, and implementation of governance policies, procedures, and charters to ensure compliance with regulatory requirements and alignment with industry best practices.
  • Conduct research on governance trends and developments to support informed policy updates and improvements.
 

Administrative Support:

  • Provide administrative support to the Corporate Secretary, along with handling any additional tasks as assigned.
  • Uphold strict confidentiality and manage sensitive information with the highest level of discretion.
Education and Experience:

  • Bachelor’s degree in Law. Paralegal or Corporate Governance certification would be an asset.
  •  A Master’s in Business Administration or Public Administration or any other business-related field. 
  • Minimum of 2 years’ experience in corporate governance, legal, or paralegal roles within a financial institution or corporate environment.
  • Solid understanding of corporate governance principles and regulatory requirements for banks and financial institutions in Trinidad & Tobago.
  • Knowledge of company secretarial functions, corporate law, and financial sector regulations.
Business / Technical Skills:

  • Exceptional written and verbal communication skills, with the ability to draft clear and concise documents.
  • Strong organizational skills, attention to detail, and the ability to handle multiple tasks concurrently.
  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint).
  • Demonstrates a high level of integrity, confidentiality, and professionalism.
