Senior Manager - Legal and Corporate Governance
Overview:
The Senior Manager - Legal and Corporate Governance will report to the Chief Legal and Compliance Officer and oversee efficient Board operations, adherence to corporate governance best practices, and the enhancement of the governance program. Responsibilities include onboarding new Directors, collaborating on legal and compliance matters, coordinating AGMs, managing corporate filings, and ensuring timely and accurate annual reports.
The role also involves maintaining corporate records and developing, implementing, and maintaining the Group's governance framework.
Key Responsibilities:
- Lead the planning and execution of Board and Committee meetings, ensuring alignment with corporate governance and strategic priorities.
- Oversee the preparation, organisation, and delivery of board reports, agendas, and circulars to support effective decision-making.
- Document and circulate meeting minutes with precision, managing action items and accountability frameworks.
- Develop and enforce a robust corporate governance framework that complies with regulatory standards and market best practices.
- Provide strategic guidance to the Board on governance matters, ensuring compliance and fostering continuous improvement.
- Oversee the coordination of AGMs and the preparation of compliant, high-quality annual reports.
- Manage director onboarding, training, evaluations, and succession planning to enhance leadership and governance effectiveness.
- Safeguard and maintain statutory corporate records, ensuring full compliance with legal and regulatory obligations.
- Monitor statutory compliance, manage regulatory filings, and address legislative developments to mitigate risks.
- Draft, review, and oversee legal documents, contracts, and intellectual property portfolios to protect the organization’s interests.
- Collaborate with Risk, Compliance, and Audit teams to address legal and governance risks effectively.
- Lead corporate communications and investor relations initiatives to ensure transparency and compliance.
- Spearhead strategic projects and governance initiatives to enhance operational and regulatory excellence.
Relevant Skills, Knowledge and Experience:
- Bachelor of Laws degree
- Legal Education Certificate (LEC)
- Admission to practice at the Jamaica Bar
- A minimum of Four years (4) years’ experience in a corporate secretarial and corporate governance role, preferably in a regulated financial services environment.
- Sound knowledge of company/corporate law, corporate governance principles, and statutory compliance requirements.
- Certification by the Institute of Chartered Secretaries and Administrators (ICSA), Chartered Secretaries Canada (CSC), or an equivalent professional qualification, or demonstrable equivalent expertise gained through relevant experience is an asset.
- Prior experience working in a securities dealer, investment banking operations, or financial services industry is strongly preferred.
- Strong organizational and time management skills, with exceptional attention to detail.
- A good understanding of the Caribbean regulatory environment is an asset.
- Solid strategic thinker and problem solver.
- Detail-oriented, accurate, organized, able to set priorities.
- Team player, with strong coaching, feedback and listening skills.
- Excellent interpersonal, oral, written, organization and presentation skills.
