VACANCY NOTICE

 Suitably qualified persons are invited to apply to fill the post of Manager, Legal Services/Corporate Secretary at the Eastern Caribbean Asset Management Corporation (the “ECAMC”), headquartered in Antigua and Barbuda.

 

The ECAMC was established by the Member Governments of the Eastern Caribbean Currency Union (ECCU) in response to the increase in non-performing loans (“NPLs”) in the commercial banking sector. The statutory purposes of the ECAMC are to:

1) Carry on the business of asset management, including acquiring the whole or any part of, dealing with, managing, and disposing of assets or liabilities of approved financial institutions in an expeditious manner; and

2) Act as the receiver of a financial institution whenever appointed by the Eastern Caribbean Central Bank under the Eastern Caribbean Central Bank Agreement or the Banking Act

 The successful candidate will be based in Antigua and Barbuda.

  

APPLICANTS MUST HAVE:

•   At a minimum an LL.B  and L.E.C and at least 10 years of postgraduate experience;

•   Sound knowledge of company/corporate law;

•   Detailed knowledge of legal and banking requirements relating to the acquisition and disposal of collateral;

•   Certification by the Institute of Chartered Secretaries and Administrators/Chartered Secretaries Canada (ICSA/CSC) or relevant equivalent experience; and

•   Experience in commercial banking operations is a preferred asset.

 

 APPLICANTS SHOULD ALSO HAVE:

•   Excellent judgment and creative problem-solving skills including negotiation and conflict   resolution skills.

•   Superior management skills.

•   Problem solving skills; results oriented leadership.

•   Ability to operate as a strategic thinker and team member.

•   Exceptional written, oral, interpersonal and presentation skills.

•   Proficiency in the use of Microsoft Office and project management software.

•   In-house counsel and litigation experience would be an asset.

•   Management and supervisory experience would be an asset.

 

DUTIES

Report directly to the Board of Directors of the ECAMC.

Reports operationally to the Chief Executive Officer of the ECAMC.

Supports the effective operations of the Board in line with good corporate governance best practices.

Responsible for the management of the legal department of the ECAMC.

 A. Manager, Legal Services

  • Advise the Board and CEO on legal matters that may impact the ECAMC.
  • Provide legal advice, as needed, on areas relevant to the operations of the ECAMC.
  • Prepare and vet contracts and agreements on behalf of the ECAMC.
  • Manage the ECAMC’s litigation.
  • Coordinate legal work of external attorneys.
  • Keep under review legislative, regulatory and governance issues which may impact the operations of the ECAMC and ensure that the CEO is effectively briefed on them.

 B.  Corporate Secretary

  • Manage the planning and execution of Board and Committee meetings.
  • Attend and take minutes of Board and Committee meetings.
  • Prepare and circulate to the respective members, a comprehensive list of all decisions taken at Board and Committee meetings.
  • In conjunction with the Chief Executive Officer (“CEO”), initiate and direct action to give practical effect to all decisions of the Board and its Committees.
  • Oversee the preparation and management of rolling agendas and follow-up trackers, accurately reflecting matters for submission at Board and Committee meetings.
  • In conjunction with the Chair, establish arrangements for evaluating the effectiveness of the Board.
  • Ensure an annual review of the Board and Committee charters, and ongoing review of all
  • key processes pertaining to the Board and its Committees.
  • Provide independent and impartial advice and guidance to the Board ensuring in particular the Board’s compliance with the Eastern Caribbean Asset Management Corporation Act and Agreement and good corporate governance best practices.

 

COMPENSATION

Compensation will be commensurate with qualifications and experience and will include standard allowances applicable to the position. Applicants are also invited to indicate their minimum and average compensation package expectations. All compensation will be in Eastern Caribbean Dollars.
