The Corporate Secretarial Officer will provide general support to the Company Secretary in ensuring that there is efficient management of shareholder related issues, maintenance of the Group’s trademark portfolio and timely internal and external reporting.

DUTIES & RESPONSIBILITIES:

  • Liaise directly with the external Registrar in the handling of all shareholder-related matters including but not limited to ensuring that shareholder records are updated and shareholder queries are resolved in a timely manner;
  • Assist with the maintenance of the Group’s trademark portfolio including the preparation of Trademark registrations, renewals and other filings to JIPO and the review of the JIPO Journals on a monthly basis;
  • Management of the Trademark database by ensuring that it is up-to-date with current information for the registered marks;
  • Preparation of Minutes for Board of Directors’ meetings, Committee meetings and Departmental meetings as assigned;
  • Manage the archiving of Board of Directors’ and Board Committee meeting minutes and supporting documents;
  • Prepare the following Reports: quarterly Corporate Secretariat reports, weekly Trade Reports and quarterly Shareholding Report;
  • Prepare disclosure letters to the JSE in respect of trading activity and other notifications as required;
  • Maintaining the connected party and related party listings;
  • Responsible for monitoring, ordering and distribution of stationary for department;
  • Responsible for recording the use of company seals for SVL and its subsidiaries.
  • Preparation of payment requisitions checking and submission of invoices;
  • Daily monitoring and archiving of newspapers articles, relevant to the company and any trademarks or intellectual property registration;
  • Assist with the maintenance of the Group’s policies ensuring that the listing is up to date.
  • Maintain up-to-date listing and file appropriately all Group contracts deposited with the Secretariat.
  • Provide administrative support to the Company Secretary as required in relation to the organization of Board, Shareholders’ meetings, and Departmental meetings.
  • Maintaining physical and electronic files in keeping with the filing systems including processing of incoming and outgoing correspondence and securing all contracts and agreements.
  • Perform such other functions as the Corporate Secretary may reasonably specify from time to time.

EDUCATION AND QUALIFICATIONS:

  • Bachelor’s Degree in Business Administration or any other related field.
  • 1-3 years working experience in the Administrative/Corporate Secretarial field;
