The Corporate Governance Assistant provides essential support to the Corporate Secretaries of ANSA Merchant Bank Limited and ANSA Bank Limited in managing corporate governance and regulatory compliance.
GENERAL DUTIES AND RESPONSIBILITIES:
Board and Board Committee Support
• Assist in the preparation, organization, and distribution of Board and Committee meeting materials, including agendas, minutes, resolutions, and other documentation.
• Attend Board and Committee meetings, draft minutes, and track action items to ensure timely follow-up and completion.
• Coordinate logistics for meetings, including scheduling, venue preparation, and technology setup.
Corporate Governance and Compliance
• Maintain corporate records, including minute books, statutory registers, and other essential governance documents.
• Support the Corporate Secretary in ensuring compliance with statutory and regulatory requirements, including correspondence and regulatory filings with the Trinidad and Tobago Securities Exchange Commission, Central Bank of Trinidad and Tobago, the Trinidad and Tobago Stock Exchange, the Trinidad and Tobago Central Depository and the Companies Registry.
• Assist in the timely preparation, review and filing of Annual Reports.
• Assist in managing regulatory inspections, audits, and reviews, including preparing responses to requests for information.
• Monitor changes in relevant legislation and regulations and assist in implementing necessary updates to governance practices.
• Develop strong working relationships with the relevant regulatory bodies pertaining to the banking sector.
Documentation and Contract Management
• Assist in drafting, reviewing, and amending board resolutions and policy documents.
• Manage the execution, storage, and retrieval of governance documents, ensuring accuracy and confidentiality.
Stakeholder Engagement
• Liaise with Directors, senior management, ANSA McAL Group leadership, and external stakeholders and service providers on matters related to Board and Board Committee activities, corporate governance and compliance.
• Shareholder engagement and management responding to queries, liaising with the Trinidad & Tobago Central Depository on matters regarding the registrar and correspondence with shareholders.
Policy Development and Review
• Assist in developing, updating, and implementing governance policies, procedures, and charters to ensure alignment with regulatory requirements and best practices.
• Conduct research on governance trends, developments, and industry best practices to inform policy updates.
Administrative Support
• Provide administrative support to the Corporate Secretaries, including managing correspondence, maintaining calendars, and organizing meetings, events and travel arrangements where necessary.
• Maintain confidentiality and manage sensitive information with discretion.
EDUCATION AND EXPERIENCE:
• Bachelor’s degree in Law, Business Administration or a related field. Paralegal or Corporate Governance certification is an asset.
• At least 2 years of experience in a corporate governance, legal, or paralegal role within a financial institution or corporate environment.
• Strong understanding of corporate governance principles and regulatory requirements for banks and financial institutions in Trinidad & Tobago.
• Familiarity with company secretarial functions, corporate law, and financial sector regulations.
BUSINESS / TECHNICAL SKILLS:
• Excellent written and verbal communication skills with the ability to draft clearly and concisely.
• Strong organizational skills with attention to detail and the ability to manage multiple tasks simultaneously.
• Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint).
• High level of integrity, confidentiality, and professionalism.
