To contribute to the success of the department by providing advice on best practices and governance frameworks suitable to clients’ needs, and work towards same in an ethical manner, in line with best practices of a professional practice organisation.

Key Accountabilities

- Provide support with the full range of Corporate Secretarial services with an emphasis on planning, tracking and meeting deadlines before the penalty period. Services:-

  • Incorporation of companies
  • External company registration
  • Preparation of Annual Returns for local and external companies
  • Preparation of statutory documents
  • Maintenance of statutory registers
  • Issue of Shares
  • Amendment of Articles and By-Laws
  • Preparation of minutes of directors’ and shareholders’ meetings
  • Dividend payments
  • Repurchase and redemption of shares
  • Submissions in accordance with the Foreign Investments Act, 1990
  • Striking companies off the Register
  • VAT and Taxation Registrations
  • Applications for VAT and Tax Clearance Certificates
  • Application for work permits

- Provide advice on compliance issues and corporate secretarial practice.

- Work with the Client Account Manager II – Technical to ensure that the compliance requirements for the publicly listed and other companies under the Technical portfolio are satisfied.

- Conduct research with respect to the Companies Act, 1995, the Foreign Investment Act, 1990, the Stamp Duty Act, the Immigration Act and any other Act deemed necessary.

- Liaise with the officers of the Companies Registry, Ministry of National Security, Board of Inland Revenue and any others which are deemed necessary.

- Prepare logical structured responses to all requests and queries from clients.

 

Qualifications & Experience

  • Completed Stage 1 of the ICSA qualification or Year 1 of the LLB Degree
  • A minimum of 3 years’ experience in all areas of corporate secretarial compliance
  • Knowledge of standard governance practices
  • Familiarity and understanding of Financial Institutions Act, Stamp Duty Act, Corporation Tax Act, Income Tax Act, Value Added Tax (VAT) Act, Companies Act, 1995, Foreign Investment Act, 1990 and the Immigration Act.
