Key Accountabilities:
- Draft and maintain minutes of Board of Directors meetings and oversee the implementation of subsequent actions.
- Develop and manage essential corporate documents, statutory reports, and organizational records.
- Ensure compliance with laws, regulations, and policies to minimize legal risks and disputes.
- Establish Corporate Guidelines and monitor compliance to all statutory obligations and requirements
- Review and prepare contracts, agreements, policies, and other legal documents to align with applicable regulations.
- Provide strategic legal advice on contracts, corporate governance, risk management, and compliance matters.
- Engage in contract negotiations and prepare commercial agreements to support organizational goals.
- Participate in dispute resolution processes and offer expert legal representation.
- Represent the company in major projects, committee meetings, negotiations, and legal matters, including liaising with external legal advisors and regulators.
- Provide legal representation on the Company’s Procurement and Disposal Advisory Committee
- Deliver legal updates and awareness on statutory changes and case law to relevant client groups.
- Identify and monitor potential legal risks and develop strategies to mitigate them.
- Collaborate with External Counsel during litigation before all Courts of First Instance, Appellate Courts and at Arbitrations
- Provide support to External Counsel in the role of instructing attorney on matters before Equal Opportunity Tribunal, Industrial Court, High Court and Court of Appeal.
- Undertake additional assignments as required to fulfill the role's overall purpose.
Qualifications and Experience:
LLB and Legal Education Certificate
AND
A minimum of five (5) years legal experience as a practicing attorney, preferably dealing with commercial matters and corporate governance.
