GROUP COUNSEL/CORPORATE SECRETARY

                                               

Applications are invited from persons with suitable qualifications to fill the position of “Manager’s Assistant, Group Counsel/Corporate Secretary” at the Legal Department.  

The jobholder is responsible for supporting the Group General Corporate Secretary and team in providing proactive and effective Company Secretarial support to the Bank’s group and subsidiary boards and their committees.

 

JOB RESPONSIBILITIES INCLUDE:

  • Supporting the meeting cycle and associated processes for board, committee and executive meetings across the Bank (RBL) including its RFHL subsidiary companies - compiling agendas and supporting all aspects of the meeting cycle, including writing minutes, following up on actions, and publication of meeting documentation on the Bank’s meetings governance portal.
  • Developing a close working relationship with teams across the business who feed into the Bank’s meetings, as well as Board members and senior executives.
  • Supporting the administration of boards and committees, including meeting records, papers, resolutions, and other documentation by:
    • Precise, timely and ordered filling and storing of board papers and minutes to facilitate safekeeping and easy retrieval for the Executives as well as for examination by third party authorities. (Auditors and CBTT).
  • Supporting the team in maintaining statutory compliance, e.g. records for entities falling within the remit of the Bank’s Secretariat.
  • Supporting corporate transactions such as intra-company share transactions by:
    • Establishing deadlines and co-ordinating activities leading up to the payment of Quarterly and Final dividends, inclusive of dissemination of results to all regulators.
    • Assisting with quarterly payment of dividends (instituted January 2024) and the RBL & RFHL Annual Meetings.
  • Supporting the Bank’s filings at CBTT and other local, regional and international statutory authorities, including appointment and resignation of directors confirmation statements, and special resolutions.
  • Assisting in the production of the Annual Report and Accounts, and other statutory/regulatory reports by:
    • Accurate and timely preparation of the Corporate Governance pages for the RFHL Annual Report, inclusive of the Directors’ Profiles, Directors’ Report, Notice of Meeting, Proxy Form, Management Proxy Circular and Corporate Governance section.
  • Supporting the maintenance of the Bank’s statutory registers by:
    • Accurate and timely production of the annual Board Paper on Stock Options exercised for End of Year RFHL Board Meeting.
    • Accurate and timely updating the Register of Directors’ and Senior Officers share holdings records with the annual Profit-Sharing allocation.
  • Acting as a point of contact with the Secretariat for teams across the business and RFHL Group.
  • Administrative tasks related to the activities of the Secretariat.
  • Attend to the ad hoc nature of requests as it relates to regulators and Board from Directors (both current and retired) and other departments within the Bank.
  • Assist in planning and execution of RFHL Annual General Meeting by:
    • Preparing the Chairman’s brief for the RFHL AGM and assisting with the activities for the AGM pre and post meeting e.g., Pre-preparations - selection of venue, promotional items, Directors photos.

 

GENERAL QUALIFICATION AND REQUIREMENTS:

The jobholder should have:

  • Bachelors' degree in the Law or Social Sciences'
  • Law Clerk, Paralegal or Governance designation. (E.g. Associate of the Institute of Chartered Secretaries & Administrators (ICSA)General knowledge of Bank’s systems and procedures
  • Seven years’ experience in paralegal or corporate secretarial work within the international financial services sector or legal environment
