The Legal Counsel is responsible for the provision of legal solutions, including legal advice, guidance and services.

Objective

With the supervision of and in collaboration with the Group Manager Legal/Company Secretary, the Legal Counsel is responsible for the provision of legal solutions, including legal advice, guidance and services, including Company Secretarial Services to the TCL Group (the Group), and in particular the entities domiciled in Trinidad and Tobago and Guyana, with a view to safeguarding the Group’s interests and ensuring that business is conducted in a legally sound manner.

 

Main Responsibilities include:   

  • Perform the functions of Company Secretary for any entities in TT or Guyana (or any other entities in the Group) as assigned by the Group Manager Legal/Company Secretary.
  • As Company Secretary ensure compliance with the relevant statutory and regulatory requirements of the assigned entities, and manage Board meetings, annual filings, completion and distribution of Minutes, preparation, execution and recording of resolutions, maintaining up to date records, preparing notices and agenda, and arranging execution of proxies for shareholders’ meetings, and management of the share registry.
  • Provide legal opinions and advice, either written or oral, as required.
  • Prepare and execute legal correspondence and memoranda.
  • Manage the relevant litigation portfolios by liaising with and instructing external counsel.
  • Review and/or draft contracts, memoranda of agreement/understanding and conveyances.
  • Facilitate the renewal of operational licences and permits, and maintain and administer Compliance and other registers and databases related to the legal portfolio.
  • Attend to issues such as trademark licensing and registration. 
  • Interpret and seek to influence any necessary change in legal instruments impacting on production and trade including the Revised Treaty of Chaguaramas, decisions of COTED and other CARICOM agreement.
  • Provide advice and take any necessary legal and/or administrative action on antidumping and competition policy matters.
  • As required, represent, or support external counsel with representation of the assigned entities in Industrial Relations matters at the respective Ministries and by appearing at the Industrial Court.
  • As required, represent or support external counsel with representation of the assigned entities in other Court matters, as directed from time to time.
  • Perform other related duties that may be necessary from time to time, including but not limited to assistance and legal support for other entities in the Group.

 

Minimum Acceptable Academic qualifications

  • Bachelor of Laws (LLB) degree and Legal Education Certificate (LEC) or equivalent legal certification
  • Admitted to practice at the Bar as an Attorney-at-Law in Trinidad and Tobago.
  • Master’s degree would be an asset.
  • Certification in corporate governance would be an asset.

 

Experience

  • At least 6 years’ experience as a practicing Attorney-at-Law in the discipline of Commercial, Corporate and Contract Law (drafting and review).  Experience in Employment Law will be an asset. 

 

Specific Skills and/or Knowledge

  • Knowledge of Corporate and Commercial Law, Trade Law, Employment Law, Contract Law and Business Law.
  • Confidentiality skills.
  • Strong organizational skills in planning, scheduling, and the ability to prioritize/delegate and deal with the workload to meet review deadlines.
  • Excellent written and oral communication skills
  • Negotiation and analytical skills.
  • Ability to establish rapport and maintain effective working relationships with personnel in all departments of the TCL Group, officials of the Government and management personnel within the Group.
  • Medium level in Microsoft Office.
  • Ability to align with the necessary consultative procedures and maintain a broad perspective of the long-term business strategies and management objectives of the Company.
