SENIOR VICE PRESIDENT- LEGAL, REGULATORY & CORPORATE AFFAIRS (DESIGNATE)

An organization engaged in industrial and maritime development, invites applications for the position of SENIOR VICE PRESIDENT- LEGAL, REGULATORY & CORPORATE AFFAIRS (DESIGNATE).

 JOB SUMMARY:

The successful candidate will understudy the current Senior Vice President, Legal, Regulatory and Corporate Affairs, and will fully assume the role on completion of the established succession period. The SVP- Legal, Regulatory and Corporate Affairs oversees all legal matters for the company.

KEY RESPONSIBILITIES

The successful candidate will, among other functions, support the SVP, Legal, Regulatory and Corporate Affairs in

  • Providing legal advice and opinion on all matters affecting the operations of the company.
  • Providing legal support in negotiations with contractors, as well as local and international shipping agencies to ensure protection of the company’s interests.
  • Providing advice on all major contracts, transactions, mergers, acquisitions, agreements, regulatory/compliance matters, litigation; etc., and providing solutions to minimise liability exposure.
  • Preparing legal documents on behalf of the company to include preparation of contracts entered into.
  • Managing and advising on the preparation, development and review of legal documents, papers, and correspondence, such as briefs, pleadings complaints, motions, contracts, appeals, etc.
  • Initiating and instituting legal proceedings, locally and overseas, on matters (litigious and non-litigious) in which the company is involved; and overseeing administrative hearings.
  • Managing the company’s insurance portfolio, including the effective use of the insurance tendering process, liaising with actuaries and Government agencies
  • Liaising with underwriters, brokers, and surveyors to obtain the most advantageous terms and conditions of insurance coverage and overseeing the prosecution of claims to ensure timely recovery of losses.
  • Ensuring compliance with policies and directives of the Boards, Government of Jamaica, and with all contractual obligations.
  • Developing and maintaining systems and procedures for the maintenance and upkeep of company records, including the statutory.
  • Managing the preparation of the annual budget and corporate objectives for the different units of the department.
  • Managing the setting up of Commissions of Enquiry, and holding enquiries into marine accidents, in addition to other regulatory functions.
  • Monitoring matters in relation to property transactions, Stamp Office, Office of Titles, Registrar of Companies, Registrar General’s Department and Courts Office.
  • Managing the provision of company secretarial services.
  • Managing the preparation of the agenda for Director’s meetings and minutes of Board/general meetings; and organizing Board meetings and annual general meetings of the company.
  • Maintenance of corporate registers and corporate seals for the company.
  • Ensuring compliance with statutory requirements, and in matters relating to principles and practices of good governance.
  • Providing support in regulatory functions.
  • Drafting by-laws and preparing instructions for amendment to laws and regulations.
  • Participating in negotiations in respect of loans and contracts.
  • Facilitating the achievement of corporate and strategic business goals.

  QUALIFICATIONS & EXPERIENCE

  • Attorney-at-Law (LLB degree and Certificate of Legal Education or equivalent qualifications)
  • Acceptance at the Jamaican Bar, with current practicing certification
  • Certification in International Law and Shipping Law
  • Post graduate degree in law, business, maritime or related matters.
  • Ten (10) years’ experience as a practicing Attorney-at-Law within a corporate environment, with at least five (5) years at a senior level

  • Excellent analytical and legal abilities.
  • Ability to articulate legal positions and strategies concisely and quickly, in a manner that is useful and easily understood.
  • Excellent human relations and interpersonal skills and the ability to communicate and interact effectively at all levels of the organisation.
  • Strong negotiation, communication and organisational skills and the ability to influence and build relationships without direct authority.
  • Well-developed interviewing, presentation and negotiating skills.
