The role of the Legal Officer will be required to assist with the duties of the Legal Counsel/Corporate Secretary as outlined in the Companies Act and the Company’s Corporate Secretary Manual.

PURPOSE OF JOB

The role of the Legal Officer will be required to assist with the duties of the Legal Counsel/Corporate Secretary as outlined in the Companies Act and the Company’s Corporate Secretary Manual. The reporting structure of this post is to the Legal Counsel/Corporate Secretary on a day-to-day basis.

 MAIN ACCOUNTABILITIES

• Assist in maintaining the governance standards of the Company, to ensure that management and the Board pay full attention to critical processes, and make decisions that comply with statutory and regulatory requirements based on current regulations, practices, standards, etc.

•To assist with legal activities and functions to ensure the organization's legal position is developed and maintained.

•Provide sound legal advice to the Legal Counsel/Corporate Secretary and Management on governance and regulatory compliance through clear and transparent communication.

•To assist in determining legal services required by the organization and mitigate the risks if the organization is exposed to legal action.

• To assist in liaising with stakeholders, supporting investor relations, and informing the Legal Counsel/Corporate Secretary about any legitimate concerns and needs of stakeholders.

•Assist in providing professional administrative support and services to the Board of Directors and the Management of the Company. 

•Ensure Management and the Board follow proper business continuity risks Management and succession planning procedures when discharging their fiduciary duty to safeguard the going concern.

•Assist with shareholder and investor relationship Management programs.

• Assist by ensuring payment of dividends is in line with shareholdings and Directors’ remuneration is accurately accounted for.

• Assist with the filing of documents with the Companies Registrar in accordance with the Companies Act.

• Ensure compliance with bye-laws, statutory, regulatory, and contractual requirements.

• Maintain a comprehensive and accurate calendar for the Legal Counsel/Corporate Secretary, including court deadlines and reminders.

•Collaborate with the Legal Counsel/Corporate Secretary to ensure the efficient and effective management of the Corporate Department.

• Draft legal documents such as contracts, share certificates, and other legal correspondence.

• Prepare/Review and/or provide advice on commercial agreements, Data protection regulations, leases, licenses, conveyance instruments and contracts of employment entered by the Company.

• Conduct legal research under the guidance of the Legal Counsel/Corporate Secretary.

• Maintain legal enterprise risk assessments and ensure required actions are closed and supporting arrangements for Business Continuity Plans are in place.

 

PROFESSIONAL QUALIFICATIONS, EXPERIENCE & SKILLS

• Bachelor’s Degree in Law from a recognized University.

• Legal Education Certificate (LEC).

• Admission to practice Law in Trinidad and Tobago.

• A minimum of two (2) years’ experience.

• Executing company secretarial functions requirements under the Companies Act.

• Knowledge of the Laws of Trinidad and Tobago, legal principles, practices, and procedures would be an asset.
